  • Liquidating distributions (cash or noncash) are a form of a return of capital. Any liquidating distribution you receive isn't taxable to you until you've recovered the basis of your stock. After the basis of your stock has been reduced to zero, you'll report the liquidating distribution as capital gain. If the total liquidating distributions received are less than the basis of the stock, a capital loss is generated. To maintain a record of the liquidating distributions received for the tax year, use the
Record of nondividend and liquidating distributions
    field on the
    Info
    screen in the
    General
folder. For more information about the treatment of liquidating distributions, check Chapter 1 in IRS Publication 550.
